Chair's Letter from

Summer is almost over, which means that the Annual Meeting of our Section is just around the corner. I hope that you make plans to attend. Before the Annual meeting, there will be a highly informative and timely presentation by G. Ann Baker and Julia Dale concerning statutory and regulatory matters relevant to business attorneys in Michigan followed by an introduction to the new Michigan corporate tax.

One item of official business at that meeting will be consideration of amendments to the Bylaws governing our Section. Please see the official notice of the amendments below:

NOTICE OF PROPOSAL FOR AMENDMENT AND RESTATEMENT OF BUSINESS LAW SECTION BYLAWS

See the proposed Amended and Restated Bylaws of the Business Law Section. A marked copy indicating the specific changes is also available. See the Marked Amended and Restated Bylaws. The marked copy shows proposed modifications to the current Bylaws of the Section, last revised in 2004. The proposed changes were prepared by the Section's Ad Hoc Committee on Section Bylaws and are designed to accomplish the following goals:

a. Consistency in use of defined terms;

b. Clarification of Section officer duties;

c. Change in order of succession of officers to provide for the office of Secretary to serve as the first office in the four-year track;

d. Clarification of procedures for filling vacancies in the Council;

e. Clarification of the selection process for committee chairs and directors; and

f. Authorization for compensating officers, Council members, directors, and members of a committee for the performance of services to the Section that do not relate to his or her duties as an officer, Council member, director, or member of a committee. This provision is modeled on the corresponding provision in the Bylaws of the State Bar.

 

The draft Amended and Restated Bylaws were approved by the Section Council at its meeting held on May 6 and have also been approved by the representatives of the State Bar. Subject to approval by the Members of the Section, they will be submitted to the Board of Commissioners of the State Bar for final approval.

The draft Amended and Restated Bylaws will be submitted for approval by the Members of the Section at the Section's Annual Meeting to be held on September 13, at the Sheraton Detroit Novi. The Business Law Section Council recommends approval of the proposed Amended and Restated Bylaws.
