Unincorporated Enterprises Committee Reports

March 3, 2005

    1. Next Scheduled Meeting of the Committee

    The Committee intends to meet within the next two months to kick off its review of the UPA and ULPA as requested by the NCCUSL.

    2. Council Approval

    No matters currently require Council approval.

    3. Membership

    Our Committee recently presented its annual Business Entity Update seminar in conjunction with ICLE. This year's session focused on current topics relating to LLCs and partnerships. An additional goal for our Committee for 2005 is to actively discuss and ultimately support the introduction of more recent forms of the UPA and ULPA as adopted by NCCUSL. The Committee also hopes to increase membership. Using the new database, we initiated an E-mail to solicit involvement in our UPA/ULPA project and received approximately 30 new leads.

    4. Accomplishments Toward Committee Objectives

    Our Committee remains active in working on legislative matters associated with the MLLCA and continues to work to educate the Bar by presenting its annual seminar (and by participating in other seminars during the year). More effort is needed to increase membership on our Committee and to introduce new people to our Committee work. The new database should assist in meeting these objectives.

    The Committee co-sponsored the 2005 Business Entity and LLC Update (along with ICLE) in January and February 2005. Our Committee will also be responsible for the session in Business Boot Camp on limited liability companies and operating agreements.

    Our Committee was active with the Ad Hoc Committee on the legislative amendments to the Michigan Limited Liability Company Act. Amendments were last adopted in December 2002 with immediate effect. We intend to be involved with the proposed MLLCA amendments regarding conversions and in any other legislative activities relating to LLCs.

    The Committee was recently contacted by the National Conference of Commissioners on Uniform State Laws to seek assistance in having Michigan adopt the Uniform Partnership Act (1997) and the Uniform Limited Partnership Act (2001). The Committee intends to discuss this matter at the Council meeting and to seek authorization to proceed with an ad hoc committee or a committee of the whole to pursue this matter.

We fulfilled our responsibility to obtain authors for the Unincorporated Enterprises Committee Business Law Journal issue.

    I. Educational Outreach

    The Committee recently co-sponsored the "Choice of Entity" seminar (tenth year) in January, 2002. Attendance was very high and ICLE has already asked to continue the program in 2003. The Committee is working with ICLE to be a part of the proposed "Business Boot Camp" program for young lawyers.

    II. Legislative Activity

    The Unincorporated Enterprises Committee is active as a participant in the current plans to revise the Michigan Limited Liability Company Act (AMLLCA@). The ad hoc committee met several times in 2001 and recently sent the proposed legislation to the representative who has agreed to sponsor the legislation. The Committee is also looking at issues presented by cross-entity mergers involving limited partnerships.

    III. Business Law Journal

    The Unincorporated Enterprises Committee will be responsible for the preparation of articles for an edition of the Business Law Journal in accordance with the Section rotation schedule.

    The Committee continues to solicit members. At the 2001 Mid-Year Meeting, the Committee received inquiries from individuals, and the Committee is considering further initiatives to increase membership. As an attempt to bring practical materials to the members of our Section, and to further expand upon our Section's relationship with the Institute for Continuing Legal Education, the Unincorporated Enterprises Committee's theme issue included consists of several limited liability company operating agreements (with commentary), each tailored to a particular business endeavor.

    The Committee continues to solicit members. At the 1999 Mid-Year Meeting and again at the 2000 Mid-Year Meeting, the Committee received inquiries from individuals, and the Committee is considering further initiatives to increase membership.     The Committee recently presented the 2001 Choice of Entity Seminar which was co-sponsored by the Business Law Section and ICLE. This annual seminar is now in its ninth year and has become a "regular" event on ICLE's calendar.

    II. Legislative Activity

    The Unincorporated Enterprises Committee is active as a participant in the current plans to revise the Michigan Limited Liability Company Act ("MLLCA"). It is anticipated that legislation will be proposed, and adopted, during 2001.

    III. Business Law Journal

    The Unincorporated Enterprises Committee was responsible for developing articles for a 2000 Business Law Journal. As an attempt to bring practical materials to the members of our Section, and to further expand upon our Section's relationship with the Institute for Continuing Legal Education, the Unincorporated Enterprises Committee's theme issue included several limited liability company operating agreements (with commentary), each tailored to a particular business endeavor.

    IV. Membership

    The Committee continues to solicit members. At the 1999 Mid-Year Meeting and again at the 2000 Mid-Year Meeting, the Committee received inquiries from individuals, and the Committee is considering further initiatives to increase membership. The Committee intends to continue to present seminars in conjunction with ICLE and the Business Law Section and to involve interested members of the Bar in Committee activities. Membership, and the opportunity to play a significant role in the Committee's activities, is and will continue to be open to all members of the Business Law Section of the State Bar of Michigan.
